Adobe said it has signed a definitive agreement to buy Semrush for $1.9 billion in an all-cash deal, as it seeks to tap into the generative engine optimization (GEO) capabilities of the target company in the wake of rapid adoption of AI.
Adobe will offer $12 per share for Semrush, said Adobe in a statement.
Semrush, which was founded in 2008 by Oleg Shchegolev and Dmitry Melnikov, helps marketers manage brand visibility and audience reach through its data-driven GEO and search engine optimization (SEO) solutions.
"With Semrush, we’re unlocking GEO for marketers as a new growth channel alongside their SEO, driving more visibility, customer engagement and conversions across the ecosystem," said Anil Chakravarthy, president of Adobe’s Digital Experience Business.
Adobe helps 99% of the Fortune 100, includingCoca-Cola, General Motors and IBM use AI, noted the statement.
The transaction, which has been approved by the board of directors of both Adobe and Semrush, is expected to close in the first half of 2026.
