The Competition Commission of India (CCI) has approved the proposed acquisition of a certain shareholding in Navi Ltd by MIH Payments Holdings BV, an indirect wholly-owned subsidiary of Dutch investment firm Prosus NV.

The CCI said its detailed order on the proposed combination will be issued separately.

The approval follows Navi’s announcement in August 2026 that it had raised $100 million from Prosus in its first institutional funding round. The investment came as the Sachin Bansal-led fintech firm prepares for a potential initial public offering (IPO).

Founded in 2018, Navi operates across digital lending, insurance, mutual funds and UPI payments through its consumer-facing mobile application. The company had previously filed draft IPO papers in March 2022 but later put its listing plans on hold.

Navi Ltd is the holding company of the Navi Group, which provides digital financial services through its subsidiaries.

Navi's consolidated net loss widened 268.7% to Rs 466 crore in FY26 from Rs 126.4 crore in the previous fiscal, despite a 16.2% year-on-year increase in operating revenue to Rs 2,982 crore.

Earlier, CareEdge Ratings had noted that while the company's profitability remained subdued in recent periods, the company has undertaken multiple measures to improve its earnings profile. These include increase in lending yields, introduction of processing fees, and optimisation of sourcing costs through greater reliance on internal channels.

"The impact of these measures is expected to reflect progressively as newer loan cohorts season, supporting improvement in NIMs (net interest margin) and return metrics. With operating leverage benefits from scale and moderation in credit costs, profitability is expected to improve in the near-to-medium term, particularly at the NBFC level," it had added.

Prosus has invested over $8 billion in India so far spread across payments company PayU, ecommerce company Meesho, food delivery company Swiggy and mobility startup Rapido.

Earlier in September, it co-led a $10 million Series A funding in Arivihan to scale AI-powered education across India.
